1. About

1.1 About Jaaspire: Jaaspire (the “Platform”) is a social media and content-sharing website and application service that allows users to create a profile, upload photos, videos, and other content (“User Content”), set a price for followers to subscribe and view their content, and thereby earn money from their subscribers (“Followers”). Jaaspire is operated by realdrseattle, a company registered in Washington, USA.

1.2 Acceptance of Terms: These Terms of Service (“Terms”) govern your access to and use of Jaaspire, including any content, functionality, and services offered on or through the Platform. By registering an account or using Jaaspire, you accept and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1.3 Eligibility – Adults Only: Jaaspire is only available to individuals 18 years of age or older. By using Jaaspire, you represent and warrant that you are at least 18 (or the age of majority in your jurisdiction), and that you have the legal capacity to enter into a binding contract. No persons under 18 may register or access the Platform. If you do not meet these requirements, you must not use Jaaspire. (Jaaspire’s Privacy Policy describes how we verify age and identity.)

1.4 Changes to Terms: We reserve the right to modify or update these Terms at any time in our sole discretion. If we make changes, we will post the updated Terms on the Platform and update the “Last Updated” date. All changes are effective immediately when posted and apply to all use of Jaaspire thereafter. By continuing to use Jaaspire after changes are posted, you agree to the revised Terms. You are expected to check this page periodically so you are aware of any changes.

1.5 Electronic Communications: By using Jaaspire, you consent to receive communications from us electronically, including email notifications and messages on the Platform (for example, to your account inbox). You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. If you wish to withdraw consent to electronic communications, you must notify us at [email protected]; however, doing so may result in termination of your account because we can only provide our services if you consent to electronic communications.

1.6 User Content and Interactions: We do not own or control the User Content that users post on Jaaspire. Views or opinions expressed in User Content are those of the users not of Jaaspire. All transactions and interactions regarding User Content on Jaaspire are strictly between users (Creators and Followers). Jaaspire is not a party to any agreements or dealings between users, except as a facilitator of payments from Followers to Creators as described in section 4.

1.7 Jaaspire’s Role in Payments: When a Follower makes a payment to access a Creator’s content or Follower interaction, Jaaspire receives that payment on behalf of the Creator. Jaaspire acts as the Creator’s agent for the limited purpose of accepting payments from Followers. Once Jaaspire has received a payment from a Follower, the Creator is deemed to have been paid and must allow the Follower to view the paid content or otherwise provide the paid service. The Creator has no further claim against the Follower for that payment, as it has been fulfilled via Jaaspire. (Section 4 of these Terms provides more detail on payments and payouts.)

1.8 Our Rights: We reserve the right at any time, and without liability or prior notice, to take the following actions:

  • 1.8.1 Modify, suspend, or terminate the Jaaspire website/app or any portion of it.
  • 1.8.2 Restrict, limit, suspend, or terminate any user’s access to Jaaspire or any part of it, for any reason or no reason, including violation of these Terms.
  • 1.8.3 Remove or delete any content posted on Jaaspire if, in our reasonable opinion, the content violates these Terms or any applicable law.
  • 1.8.4 Monitor the use of the Platform (including any User Content or messages) to ensure compliance with these Terms and applicable law.
  • 1.8.5 Investigate any suspected misuse of Jaaspire or illegal behavior on the Platform, and cooperate with law enforcement authorities in such investigations.
  • 1.8.6 Disclose information about your use of Jaaspire to law enforcement or government agencies, if we believe it is reasonably necessary to comply with law, legal process, or to protect the safety, rights, or property of Jaaspire or any third party.
  • 1.8.7 Change or select the third-party payment processors or payout providers that enable you to make or receive payments through Jaaspire, at any time.

1.9 Service Availability: From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to perform maintenance or for other operational reasons. We do not guarantee that the Platform, or any content on it, will always be available or uninterrupted.

2. How It Works

2.1 Platform Description: Jaaspire is a user-generated content platform that allows you to create a profile and either:

  • 2.1.1 Become a Content Creator (“Creator”) by uploading and posting User Content (photos, videos, live streams (upcoming), text posts, etc.) which can be accessed by users who subscribe to you (“Followers”); and/or
  • 2.1.2 Become a Follower (Subscriber) by subscribing to one or more Creators to view their exclusive content and engage in permitted interactions (such as messaging or live chats).

2.2 Users: The term “User” in these Terms refers to anyone using Jaaspire, whether as a Creator, a Follower, or both. A single person may be both a Follower and a Creator on the Platform. All Users are subject to these same Terms.

2.3 User Content: The term “User Content” means any and all media, content, or material (including photos, videos, audio, live streams, text, and graphics) that Users upload, publish, or display on Jaaspire. Creators are the owners of their User Content, subject to the licenses granted to Jaaspire and Followers under these Terms.

2.4 Follower Interactions: In addition to viewing content, Followers may have opportunities to interact with Creators through features provided by Jaaspire (“Follower Interactions”). Follower Interactions may include sending direct messages, requesting customized content, participating in live stream chats, tipping, or unlocking pay-per-view posts. These interactions may involve additional payments, as described in Section 4.

Note: All Users are required to comply with these Terms and with Jaaspire’s Acceptable Use Policy (see Section 10) in all activities on the Platform.

3. Account Registration

3.1 Creating an Account: To use Jaaspire, you must register and create a User account. This involves providing a valid email address, a unique username, and a secure password. You may also be asked to verify your email or identity as part of our security and compliance procedures. You must provide truthful, current, and complete information during sign-up and keep your account information up to date.

3.2 Privacy and Data: All information you provide to us during registration or otherwise, including personal data, will be handled in accordance with our Privacy Policy (linked separately). By registering, you consent to Jaaspire’s collection and use of your information as described in the Privacy Policy, and you agree that all actions we take with respect to your data are in compliance with that policy.

3.3 Subscription Payments Setup: If you wish to subscribe to Creators or make any purchases on Jaaspire as a Follower, you will need to add a valid payment method to your account (such as a credit/debit card or other payment provider we support). By providing a payment method, you authorize our payment processor to store your payment credentials and charge your method for any subscriptions or purchases you elect to make. Note: Jaaspire itself does not store full payment card details; payments are handled by third-party payment providers. We reserve the right to change our authorized payment processors at any time without notice.

3.4 Earnings Payout Setup (For Creators): If you wish to earn money on Jaaspire as a Creator, you will be required to add a payout method and verify your identity. This includes:

  • Providing valid government-issued identification (to confirm you are at least 18 and for tax/legal purposes).
  • Submitting any additional information or forms required by law (for example, U.S. Creators may need to provide a completed IRS Form W-9 for tax reporting if applicable, or other country-specific tax forms).
  • Providing bank account or payment account details for receiving payouts. We support certain payout options (which may include direct bank transfer, e-wallets, or other third-party payout processors). We may change or add payout options over time at our discretion.
  • Your earnings as a Creator will be paid out to you via the chosen payout method, subject to Jaaspire’s payout schedule, minimum withdrawal thresholds, and our right to withhold amounts for refunds, chargebacks, or tax withholding if required by law.

3.5 Account Commitments: By registering an account on Jaaspire, you confirm and agree that:

  • 3.5.1 All information you submit (including during registration, on your profile, and any verification steps) is your own information, and it is truthful, accurate, and up to date. You will not impersonate anyone else or provide false details.
  • 3.5.2 You have not been previously banned, suspended, or had an account terminated by Jaaspire for violation of these Terms. If you did have a prior account, you have disclosed that to us, and you are not attempting to circumvent a prior ban.
  • 3.5.3 You will use Jaaspire for your personal use only. You will not sell, rent, sublicense, or transfer your account to any third party. You will also not create an account on behalf of someone else or permit others to use your account.
  • 3.5.4 You will not use any external or third-party payment method to accept payments for content or services offered through Jaaspire. (In other words, you will not encourage Followers to send you money outside of Jaaspire for content or interactions that should be conducted on the Platform. All Follower payments for content must go through Jaaspire’s approved payment system.)
  • 3.5.5 Jaaspire reserves the right at any time to verify the information you have provided and your compliance with these Terms. If we are unable to verify your information to our reasonable satisfaction, we may suspend or terminate your account.

3.6 Account Security: You are responsible for maintaining the confidentiality of your login credentials (username and password) and for all activities that occur under your account. You should use a strong, unique password and exercise caution on shared or public devices. Do not share your password with anyone or allow others to access your account. If you believe someone has gained unauthorized access to your account or your account has been compromised, you must notify Jaaspire support immediately at [email protected]. We are not liable for any loss or damage arising from your failure to secure your account.

3.7 Account Disabling: We reserve the right to disable or reclaim any username, or terminate any account, at our discretion if we determine you have violated any provision of these Terms or for any other legitimate reason. You have no ownership of your account or username; Jaaspire maintains ownership of all user accounts.

4. Subscriptions, Purchases, and Follower Payments

4.1 Subscriptions: Creators on Jaaspire may offer paid subscriptions for Followers to access their exclusive content. To subscribe to a Creator’s content:

  • You must have a valid payment method on file (see 3.3 above).
  • Select the Creator’s profile and click the subscribe or purchase button, confirming the subscription price and terms.
  • Auto-Renewal: Subscription charges are typically billed on a recurring basis (e.g., monthly) unless otherwise stated. By subscribing, you authorize Jaaspire (via its payment processor) to automatically charge your payment method at the beginning of each subscription billing period until you cancel.
  • Cancellation: You may cancel a subscription at any time. You can turn off auto-renewal on the Creator’s profile page (e.g., toggle off the “Auto-Renew” option) or contact us at [Support Email] for assistance. If you cancel, you will continue to have access to the Creator’s content until the end of the current paid period, but your subscription will not renew. No further charges will be made for that subscription after cancellation. Please note: Canceling a subscription prevents future charges but does not automatically refund the current period.

4.2 One-Time Purchases and Tips: In addition to subscriptions, Jaaspire may enable other paid interactions:

  • Pay-Per-View Content: Creators might send or post content that requires an individual payment to unlock (for example, a locked message or a special post). Followers can choose to pay the fee to view that specific content.
  • Tips: Followers can send voluntary payments (tips) to Creators to show appreciation or support. Tipping may be available on content posts, in direct messages, or via a tip button on the Creator’s profile.
  • Jaaspire may impose minimum or maximum amounts for tips or other transactions for security and compliance reasons. (For example, a minimum tip amount of $5, or limits on the total tips per day for new users.) All tipping and one-time purchase transactions are also final and non-refundable.

4.3 Pricing and Currency: All prices for subscriptions, pay-per-view content, or tips are set in platform default currency or as displayed and include any applicable taxes unless otherwise stated. Depending on your location, taxes such as VAT or sales tax may be included in the price or added at checkout. Jaaspire will handle the calculation and remittance of any required taxes on Follower payments where mandated by law. You are responsible for any additional fees charged by your bank or card issuer (such as foreign transaction fees or currency exchange fees if applicable).

4.4 Payment Processing: All charges to Followers are processed by third-party payment providers on behalf of Jaaspire. By making a purchase, you authorize Jaaspire or its payment processors to charge your selected payment method for the amount of the purchase (including any applicable taxes or fees). If your provided payment method fails (e.g., card expiration or insufficient funds) and you do not update it, Jaaspire may suspend or revoke access to the paid content or subscription until payment is resolved. Jaaspire is not responsible for any delays or errors by the payment processors, but we will work to resolve any payment issues that arise.

4.5 Follower Responsibilities: All purchases on Jaaspire are final. When you subscribe to a Creator or make a one-time purchase, you are responsible for the charges incurred. Unauthorized or fraudulent use of payment methods is prohibited. You agree not to initiate unjustified chargebacks or payment disputes after consuming the content. (See Section 5 regarding our refund and chargeback policy.)

4.6 Recurring Billing Authorization: If you purchase a subscription that automatically renews, you authorize Jaaspire to charge your stored payment method at the start of each renewal term (e.g., on the same date each month) without further action by you. If your payment method becomes invalid (for example, your card expires) and we cannot successfully charge it, we will notify you (e.g., via email or account alert). We may suspend your access to the subscribed content until you update your payment information. If you fail to update a valid payment method within a reasonable time, we may cancel your subscription.

4.7 Creator Earnings (Revenue Share): If you are a Creator, you will earn a share of the revenue from the Followers who subscribe to you or purchase your content:

  • Standard Revenue Share: Creators are entitled to [95]% of the gross revenue generated from their Followers’ payments for subscriptions, pay-per-view content, and tips. Jaaspire retains the remaining [5]% as a platform fee (which covers our operational costs, payment processing fees, referral payments, and other services).
  • The revenue share percentage may be subject to change or promotional adjustments, but any such changes will be communicated to you and typically will not affect payments already earned.
  • Payout Schedule: Earnings are typically accumulated in your Creator account balance. After seventy (70) days of earnings credited to your Creator account, Jaaspire will make payouts of due earnings on a regular schedule (for example, weekly or monthly) or upon your request, subject to any minimum payout thresholds (e.g., a minimum balance required to withdraw) and provided all identity and tax documentation is in order. Details of the payout schedule and minimum payout amounts will be available in your account or Creator dashboard.
  • Transaction Fees: Jaaspire’s platform fee (5%) is applied to the gross payment; the remaining 95% is your net earnings. Note that third-party payment processing fees or taxes may be deducted before calculating your net payout in some cases. Jaaspire will provide statements or dashboards so you can see your earnings and any applicable deductions.

4.8 Taxes on Earnings: As a Creator, you are responsible for determining and paying any taxes owed on the income you earn from Jaaspire in your jurisdiction. Jaaspire will withhold taxes from your earnings only if required by law (for example, certain countries require platforms to withhold income tax or VAT from payments). If such laws apply, we will inform you and deduct the required amounts, and we may request additional information from you (such as tax identification numbers) to comply with reporting obligations. Jaaspire may provide you with annual earnings statements or tax forms (e.g., IRS Form 1099-NEC for U.S. creators earning above the threshold) as required by law. Ultimately, however, you are responsible for reporting your earnings and paying any applicable taxes (income tax, VAT/GST, etc.) to the appropriate tax authorities.

5. Refunds and Chargebacks

5.1 All Sales are Final: As a general policy, all purchases made on Jaaspire are final and non-refundable. This applies to subscription fees, pay-per-view content, tips, and any other paid feature. Once a Follower has paid for access to content or sent a tip, the Follower is not entitled to a refund if they are unhappy with the content, change their mind, or choose to cancel later. Followers gain immediate access to digital content/services, which is why refunds are not offered in the ordinary course.

5.2 Cancellation of Subscriptions: While we do not offer refunds for subscription payments that have already been processed, Followers are free to cancel a subscription to prevent future charges (see Section 4.1 above). Upon cancellation, the Follower will retain access for the remainder of the period already paid for, and the subscription will simply not renew. No new charges will occur after cancellation.

5.3 Exceptional Circumstances: In certain exceptional cases, Jaaspire (in its sole discretion) may consider refunding a purchase or a portion of it. This could include situations such as:

  • The Creator’s account was terminated by Jaaspire shortly after a Follower’s purchase, resulting in the Follower losing access to paid content without receiving the expected benefit.
  • A technical issue on Jaaspire’s end prevented the Follower from accessing the content they paid for, and we were unable to resolve the issue in a timely manner.
  • Clear evidence of unauthorized or fraudulent use of a Follower’s payment method for a Jaaspire transaction.

Any decision to provide a refund is at Jaaspire’s sole discretion and does not obligate us to provide future refunds in similar cases.

5.4 Chargebacks: A “chargeback” occurs when a user disputes a charge with their bank or credit card provider and the payment is reversed. Jaaspire reserves the right to fight or dispute unjustified chargebacks. Initiating a chargeback for a valid transaction is a violation of these Terms. If you (as a Follower) initiate a chargeback for a purchase that was legitimately made and delivered on Jaaspire, we may permanently terminate or suspend your account for fraud.

If a Follower successfully charges back a payment, the access associated with that payment will be revoked (the Follower will lose access to the related content), and the charged-back amount will be deducted from the Creator’s earnings. If the Creator has already withdrawn those earnings, their account may show a negative balance and future earnings may be offset until the chargeback amount is recovered. Jaaspire may also impose a fee to the Creator for any chargeback to cover the dispute fees from the payment processors.

5.5 Reporting Issues: If you are a Follower and believe you were charged in error or have an issue with a payment, please contact Jaaspire support first at [email protected]. We encourage Users to allow us to resolve payment issues directly instead of going through a bank dispute, as we can often resolve the problem quickly and fairly in a way that satisfies both Follower and Creator.

6. Account Deactivation and Termination

6.1 User-Initiated Deactivation: If you wish to deactivate or permanently delete your Jaaspire account, you may do so by contacting our support team at [email protected] with your request, or through any self-service account deletion function provided on the Platform. For security, we may require you to confirm your identity or ownership of the account. We aim to process account deactivation requests within a reasonable time (typically within 10 business days).

  • Effect of Deactivation: Deactivating your account will remove your profile from being publicly visible and prevent any new subscriptions or interactions. However, any existing subscriptions that Followers have paid for will generally remain accessible to those Followers until the end of the billing period, unless we decide to issue refunds or remove content for policy reasons. If you prefer immediate removal of content even for current subscribers, you must request account deletion and acknowledge that current subscribers may lose access (no refunds will be owed to them unless we determine otherwise).
  • Content Retention: Even after deactivation, we may retain certain data as required by law or for legitimate business purposes (e.g. proof of transactions, tax records, or evidence in case of disputes). Also note that co-authored content (see Section 11.6) that you have participated in may remain on Jaaspire if it was posted by another Creator, even if your own account is deleted.

6.2 Jaaspire Suspension/Termination: We may suspend or terminate your account at any time with or without notice if we reasonably believe that you have violated these Terms or any law, or if we believe it is necessary to protect our platform or other users. In less severe cases, we may suspend your account’s access to certain features (e.g., disable the ability to post or withdraw funds) while we investigate. If your account is terminated or suspended:

  • You must stop using Jaaspire immediately.
  • Any subscriptions or pending payouts may be frozen or canceled. Creators whose accounts are terminated for cause forfeit any unpaid earnings if those earnings resulted from or were connected to the misconduct. (We may, at our discretion, refund affected Followers in such cases, or retain amounts to offset damages.)
  • You are not allowed to create a new account if your original account was terminated for a violation. (Circumventing a ban is a further violation.)

6.3 Appeals: If you believe your account was wrongfully suspended or terminated, you may contact [email protected] to request a review. We will inform you of the reason for termination if legally permissible. However, Jaaspire’s decision on termination is final and at our sole discretion, and these Terms do not guarantee reinstatement.

6.4 Survival: Sections of these Terms that by their nature should survive termination of your account (such as intellectual property rights, content licenses, indemnification, limitation of liability, and dispute resolution) will remain in effect after your account is terminated or these Terms are otherwise ended.

7. Intellectual Property Rights

7.1 Ownership of the Platform: Except for User Content, the Platform (Jaaspire) and all content and materials on it or offered through it are the property of Jaaspire or its licensors. This includes, but is not limited to, the website design, software code, databases, aggregated listings of content, text, graphics, logos, button icons, images, audio clips, video clips, data compilations, and overall look-and-feel of Jaaspire. These are protected by copyright, trademark, trade secret, and other intellectual property or proprietary rights laws. All rights in the Platform not expressly granted to users in these Terms are reserved by us.

7.2 Jaaspire Trademarks: “Jaaspire” and our logos, brand names, domain names, and slogans are trademarks or service marks owned by realdrseattle, inc. (or its affiliates/licensors). You must not use Jaaspire’s name, logos, or branding for any purpose without our prior written consent. All other names, logos, or marks on the Platform that are not owned by us are the property of their respective owners (for example, payment provider names), and their use on Jaaspire is for identification only and does not imply endorsement.

7.3 Restrictions on Use of Platform Materials: You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or transmit any of the material or code on the Platform, except as permitted by law or as follows:

  • Personal Viewing: You may, for your own personal, non-commercial use, view and temporarily cache copies of the materials as you interact with the Platform. For example, your web browser may automatically download and store pages or images in its cache, or you may temporarily download content for offline viewing if the Platform allows it.
  • Printing/Personal Copy: You may print or download a reasonable number of pages of the website for your personal, non-commercial use (for example, printing a copy of these Terms or a receipt of your transactions), but not for redistribution.
  • Prohibited Uses: All other uses of any part of the Platform without prior written permission from Jaaspire are prohibited. You may not copy or scrape our content or code for use on other sites, nor use any of our intellectual property in a way not authorized by us. If you breach these Terms and copy or use Platform materials in violation of these rules, your right to use Jaaspire will cease immediately and you must, at our option, return or destroy any unauthorized copies of materials you have made.

7.4 No Transfer of Rights: Using Jaaspire does not give you any ownership or rights to any aspect of the Platform or its content (aside from your own User Content). This means that when you subscribe to a Creator, you are obtaining a limited, personal license to view their content through our service – you are not obtaining any ownership of that content. Likewise, Creators do not obtain ownership of any Jaaspire software or systems by using the service. All rights not expressly granted in these Terms are reserved by Jaaspire.

8. License to Use Jaaspire

8.1 Your License from Us: Subject to your ongoing compliance with these Terms, Jaaspire grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your own personal, lawful use. This license is provided solely for you to participate in the Jaaspire platform as intended (either as a Creator, Follower, or both), and no other purpose.

  • This means you can use our website and apps to view content, interact with other users, and/or share your own content, as long as you follow the rules set out in these Terms and applicable law.
  • We reserve the right to terminate or revoke this license at any time if you violate these Terms or misuse the Platform.

8.2 Compatibility and Updates: We strive to make Jaaspire accessible on a variety of devices and operating systems, but we do not guarantee that Jaaspire will be compatible with all devices, browsers, or system versions. It is your responsibility to ensure you have the necessary equipment and software (and internet connection) to use Jaaspire. From time to time, we may release updates, bug fixes, or new features. We may require you to update your app or browser to continue using Jaaspire. By using the Platform, you agree to receive such updates (automatically, in the case of mobile apps, if your settings allow). Failure to install updates may affect the functionality of Jaaspire, and we are not responsible for issues arising from failure to update.

8.3 No Illegal Use or Exploitation: You agree not to use the license granted by Jaaspire to attempt to copy, reverse-engineer, alter, or tamper with any aspect of the Platform. Any attempt to decompile, decipher, or access the source code of our software is strictly prohibited (except to the limited extent such actions are expressly permitted by law notwithstanding this limitation).

8.4 Termination of License: If you violate these Terms, or if we suspend/terminate your account, your rights under this Section 8 will immediately end. You must stop using the Platform and may not re-register without our permission. Termination of the license does not limit our other rights and remedies at law or under these Terms.

9. Acceptable Use Policy

We require all Users to use Jaaspire responsibly and lawfully. By using Jaaspire, you agree to the following acceptable use rules:

9.1 Lawful and Personal Use Only: You may use Jaaspire only for legal purposes and in accordance with these Terms. You must not use the Platform in any way that:

  • 9.1.1 Violates any applicable federal, state, local, or international law or regulation.
  • 9.1.2 Is for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way. Absolutely no content depicting minors (under 18) is allowed on Jaaspire, even in non-explicit contexts. You may not solicit personal information from minors or attempt to have any interaction with minors on the Platform.
  • 9.1.3 Is unlawful, fraudulent, or related to any criminal activity (such as promoting gambling in jurisdictions where it’s illegal, money laundering, fraud schemes, etc.).

9.2 Prohibited Content and Activities: You may NOT upload, post, or transmit (either publicly or in private communications) any content or engage in any activity on Jaaspire that:

  • 9.2.1 Impersonates Jaaspire, any Jaaspire employee, another user, or any other person or entity. You may not falsely state or misrepresent yourself, your identity, your age, or your affiliation with any person or organization.
  • 9.2.2 Involves using someone else’s account or information without permission. Do not falsify registration info or use a name or information you are not authorized to use.
  • 9.2.3 Infringes any other person’s or entity’s intellectual property rights or other rights. This means do not upload content you did not create or do not have permission to use. (For example, no posting videos or pictures from other websites or creators without permission; no using copyrighted music in your videos unless you have a license.)
  • 9.2.4 Pornographic or Illicit Content: Jaaspire does not allow any pornographic content or other illicit (illegal) material on the Platform. “Pornographic content” means any material depicting explicit sexual acts or primarily intended to cause sexual arousal or sexual gratification. This prohibition includes, but is not limited to:
    • Any content featuring minors (under 18) in any context – this is zero-tolerance and strictly forbidden.
    • Content featuring bestiality (sexual acts with animals).
    • Rape or non-consensual sexual violence, or any depiction of sexual assault or coercion.
    • Content depicting or endorsing incest.
    • Any other obscene or sexually explicit material that is illegal under applicable law.
  • For clarity, Jaaspire distinguishes pornographic material from non-sexual, lawful content involving the human body. Content that includes nudity or body imagery in a non-sexual, legitimate context is permitted on the Platform – for example, artistic expression, educational or medical content, or personal displays of body art such as tattoos or piercings. Such content is allowed only if it complies with all applicable laws, does not depict sexual acts, and adheres to this Acceptable Use Policy and any other Jaaspire guidelines. In short, explicit sexual content for the sake of sexual gratification is prohibited, while non-sexual depictions of nudity or the human body (for artistic, medical, or lawful personal expression) are permitted.  Any such determination of whether content is permitted or prohibited shall be made in Jaaspire’s sole discretion.
  • 9.2.5 Depicts or encourages self-harm, suicide, or murder, or provides instructions for violent or self-destructive activities.
  • 9.2.6 Involves hate speech or harassment. Do not post content that is defamatory, libelous, or that promotes bigotry, racism, hatred, or harm against any group or individual based on factors like race, religion, gender, orientation, etc.
  • 9.2.7 Is exploitative or abusive. This includes content that depicts any person who has not given consent to be portrayed or content that was obtained or distributed without the subject’s consent (e.g. “revenge porn” or secretly filmed content).
  • 9.2.8 Contains extreme violence or gore for the sake of gratuitous violence, or any content that is overly graphic without justification.
  • 9.2.9 Promotes or depicts any form of illegal activity or controlled substances. For example, instructions for making illegal drugs, or content that glamorizes drug abuse. (Narcotic use in content is not allowed, even if legal in some jurisdictions; moderate alcohol or tobacco use in content is discouraged and must comply with local laws.)
  • 9.2.10 Provides or solicits personal data of others to facilitate harassment or abuse (for instance, doxxing someone by sharing their real name, address, or financial information without consent).
  • 9.2.11 Attempts to circumvent payments or Jaaspire’s systems. This means you cannot encourage or direct Followers to send you money outside the Platform for content or interactions that would normally be done on Jaaspire. You also cannot post your own payment info (like PayPal, CashApp, etc.) to solicit off-platform payments, as this bypasses our fees and safety measures.
  • 9.2.12 Involves spam, advertising, or solicitations that are not permitted. Jaaspire is not to be used to send junk mail, chain letters, pyramid schemes, or any other form of solicitation not specifically allowed. (Creators may promote their Jaaspire within their content, but Users may not advertise unrelated third-party services to others without permission.)
  • 9.2.13 Interferes with or disrupts the Platform. Do not engage in activities like:
    • Attempting to hack or gain unauthorized access to Jaaspire’s servers, databases, or user accounts.
    • Using bots, crawlers, scrapers, or other automated means to access or gather data from Jaaspire (except as may be permitted by a public search engine following our robots.txt).
    • Launching or facilitating any kind of attack on the service (e.g., Denial-of-Service attacks, introducing viruses, worms, or harmful code).
    • Reverse engineering or attempting to extract the source code of any software on the Platform.
  • 9.2.14 Misuses Platform features for competitive purposes. You may not use Jaaspire to build or promote a competing platform. For example, you cannot create an account to harvest information about our users or systems, or to monitor the Platform’s performance, uptime, or functionality for competitive analysis.
  • 9.2.15 Overburdens the Platform. You must not use any manual or automated means to scrape content or otherwise systematically download or store Platform content in bulk. Also, do not engage in behaviors that impose an unreasonable or disproportionately large load on our infrastructure (e.g., using automated scripts to mass-message users).
  • 9.2.16 Attempts to evade enforcement. If Jaaspire has flagged or removed certain content of yours, you must not re-upload the same content. If your account is suspended or restricted, you must not create alternate accounts to bypass those measures.
  • 9.2.17 Otherwise violates any provision of these Terms or any other policy referenced herein (such as our Privacy Policy or any community guidelines).

9.3 Platform Integrity: You agree not to do anything that could harm the functioning or security of Jaaspire or its users. This includes not only technical interference (covered above) but also social forms of interference:

  • Do not engage in persistent harassment of other users, do not stalk or intimidate others, and do not behave in a manner that significantly disrupts the experience of other users.
  • Respect other Users’ privacy: you may not collect or harvest personal information about other Users except as needed to engage in normal interactions on the Platform (and even then, you must protect that information and only use it for its intended purpose).

9.4 Reporting Violations: If you become aware of any User engaging in prohibited behavior or posting content that violates these Terms, please report it to us (using any available “Report” feature on the Platform or by emailing [Support Email]). We will review reports and take appropriate action.

9.5 Enforcement: We may, at our sole discretion, remove any content and/or terminate any account that we find is in violation of our Acceptable Use Policy or any other part of these Terms. We are not required to provide advance notice before removing content or suspending accounts for such violations. In most cases, if content is removed for violating our policies, we will notify the user of the removal and reason via email or in-app message. Repeated or egregious violations will result in stronger enforcement, up to and including permanent account termination and potential reporting to law enforcement (where the content may be criminal in nature, such as child exploitation material).

10. User Content

This section deals with content that you, the User, create and upload to Jaaspire, and how it can be used by others and by Jaaspire.

10.1 Ownership of Your Content: You retain ownership of all User Content that you create and post on Jaaspire. Jaaspire does not take ownership of your copyrights or other intellectual property in your content. Subject to the licenses granted to us and to other users below, you are free to reuse your content however you like outside the Platform (for example, you can post your own photos/videos to your personal website or other social media).

10.2 License to Jaaspire: By uploading or publishing User Content on Jaaspire, you grant to Jaaspire (and our affiliates, successors, and sublicensees) a worldwide, non-exclusive, royalty-free license to store, use, reproduce, modify (e.g., for formatting or technical purposes), display, perform, distribute, and transmit your User Content in connection with operating the Platform and providing services to you and other users. This license allows us, for example, to:

  • Host your content on our servers and display it to users (Followers) who are authorized to view it (such as your subscribers).
  • Transcode or format your videos and images so that they play on different devices and network conditions.
  • Use small excerpts, thumbnails, or previews of your content to promote your Jaaspire profile or the Platform in general (e.g., showing your profile in a list of top creators, or if you participate in an official Jaaspire promotion – we will not use your explicit content for marketing without consent, but we might use a SFW profile image or description).
  • Make backups of content to prevent data loss.
  • Sub-license to trusted third-party service providers as needed to provide the service (for example, caching by a content delivery network, search index creation, etc.).

This license to Jaaspire continues for so long as your content is available on the Platform and for a reasonable period of time after (for example, to allow us to maintain backup copies or as required by law). The license ends when you or Jaaspire remove your User Content from the Platform, except to the extent that content has been shared with others and they have not deleted it or if it has been licensed to Followers as described below.

10.3 License to Other Users (Followers): When you post content behind a paywall or subscription, and another user (Follower) pays for access, you are granting that Follower a limited, non-transferable license to access and view that specific content for their personal, non-commercial use. This license is conditional upon the Follower remaining a paying subscriber or having otherwise paid for the content. Followers do not acquire any ownership or the right to further use that content outside of Jaaspire. They must not download, screenshot, record, reproduce, or redistribute any Creator’s content without explicit permission. (Doing so violates these Terms and may result in account termination and potential legal action by the Creator for copyright infringement or other claims.)

10.4 Your Responsibilities for Your Content: You understand and agree that you are solely responsible for any User Content you create, upload, or share on Jaaspire. This means:

  • Legality and Rights: You represent and warrant that (10.4.1) you own or have all necessary rights and permissions to upload the content and to grant the licenses in these Terms, and (10.4.2) your content does not violate any law or any person’s rights.
    • You have secured all necessary licenses, consents, and permissions (for example, releases from any person who appears in your content, or permission from the copyright owner if you include third-party music, images, etc.).
    • If your content uses someone else’s intellectual property (like a song, or a piece of art in the background, or a trademark logo), you must have the legal right to use it. Jaaspire is not responsible for verifying the ownership of content you post; that’s your responsibility.
  • No Confidential Content: You agree that any content you upload is non-confidential. Even if you restrict it to paying Followers, you understand that once it’s online, we cannot guarantee it won’t be copied or shared by others in violation of these Terms. (We do take measures to prevent and address such violations – see 10.9 – but we can’t promise it will never happen.)
  • Accuracy: If you provide informational content (for example, advice or statements), you are responsible for the reliability and accuracy of that content. We do not edit or verify user postings for accuracy.
  • Compliance: Your content must comply with these Terms, including the Acceptable Use Policy in Section 9. If it doesn’t, we may remove it and take action on your account.

10.5 Co-Authored Content: If your User Content features or includes any other person (for example, you collaborate with another Creator in a video, or someone else is photographed in your content):

  • Consent and Verification: You must ensure each person appearing in your content is at least 18 years old and has given their explicit, written consent to be featured. In fact, Jaaspire requires that any person who is identifiable in your sexually explicit content must be a registered Creator on Jaaspire who has passed our age and identity verification or has signed a Jaaspire-approved participant release form. You are responsible for collecting and maintaining any necessary release documentation. (This is important for legal compliance, including U.S. 18 U.S.C. §2257 record-keeping for sexually explicit content. See section 10.8.)
  • Tagging/Attribution: Jaaspire may provide a feature to tag or identify co-authors or participants in content. If so, you should tag the co-creator’s Jaaspire account or otherwise give them credit according to Platform guidelines.
  • Disputes Between Creators: If you upload content with a co-creator, you agree in advance how earnings or ownership of that content are handled between you. Jaaspire is not liable for any disputes between you and any co-authors of your content. By uploading co-authored content, you release Jaaspire from any claims arising from that content between you and the other participants.
  • Content Removal: If you or your co-creator delete your account or remove content, that does not guarantee the removal of the co-authored content if the other person has also posted it or if Followers have already paid for it. For example, if Creator A and Creator B make a video together and Creator A posts it, it may remain on Creator A’s profile even if Creator B deletes their account (or vice versa). However, Jaaspire will consider requests to remove co-authored content if one party withdraws consent, on a case-by-case basis, especially for future sales. All involved parties must notify Jaaspire and possibly each other to reach a resolution. Jaaspire may remove co-authored content at our discretion if a dispute arises or if we believe it no longer meets our compliance requirements.

10.6 18 U.S.C. §2257 Compliance (Custodian of Records): For Creators producing and adult-oriented or explicit content (as defined by U.S. law), you are considered the producer of that content for legal purposes. You agree that you will act as the “Custodian of Records” for all such content you upload, meaning you will obtain and keep records of the age and identity of all persons depicted in the content as required by law. Jaaspire is not the primary producer of user-uploaded content and thus each Creator is responsible for maintaining age-verification documentation for their content and making it available upon lawful request. We may require you to provide us with copies of these records or certifications of compliance from time to time to ensure legal compliance. Failure to comply with these obligations can result in account termination.

10.7 Content Monitoring and Removal: Jaaspire is not obligated to pre-screen or monitor User Content, but we reserve the right to do so. We may remove, screen, or edit any User Content at any time and for any reason, including if we believe it violates these Terms or applicable law, or upon receiving any complaint or DMCA notice (see Section 11). The decision to remove content is at our sole discretion, and we may notify you of the removal along with the reason. However, we might sometimes remove content without notice if circumstances warrant (e.g., content is extremely harmful or urgent to remove).

10.8 User Content Disclaimer: We are not responsible or liable for any User Content posted by you or any other user on Jaaspire. We do not endorse or guarantee the truthfulness or reliability of any user-generated content. If you rely on information or materials shared by another user, you do so at your own risk. You agree that Jaaspire will not be liable for any claims or losses arising from User Content, whether caused by users or by any of the equipment or programming associated with or utilized by the Platform.

10.9 Protection of Your Content (Anti-Piracy): We take the unauthorized distribution of User Content seriously. While Followers are not permitted to download or share Creators’ content off-platform, we are aware that piracy can occur. If your content is found to be illegally distributed by someone (for example, a Follower leaks your photos/videos elsewhere):

  • Please notify us at [email protected] or via our DMCA/Copyright Infringement process. Provide evidence or links to the infringed content if possible.
  • We will make efforts to assist in preventing further distribution, which may include issuing takedown requests on your behalf or providing you with information to help enforce your rights.
  • However, Jaaspire is not liable for the actions of third parties who obtain content without authorization. We cannot guarantee complete removal of content from the internet outside our Platform, but we will support our Creators to the best of our ability in such situations.

10.10 Indemnification for Content: You agree to indemnify and hold Jaaspire harmless for any claims, losses, or damages arising out of or related to your User Content. (More details in Section 16 on indemnification.) This means if someone else sues Jaaspire because of something you posted (for example, claiming it’s defamatory, infringes their rights, or caused them harm), you will be responsible for the costs and damages.

11. DMCA – Copyright Infringement Policy

11.1 Respect for Copyright: Jaaspire respects the intellectual property rights of others and expects our users to do the same. It is our policy to respond to clear and complete notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA) (17 U.S.C. § 512) and other applicable intellectual property laws.

11.2 Reporting Copyright Infringement: If you believe that any content on Jaaspire infringes your copyright (or the copyright of someone you represent), you may submit a DMCA notification to us. The fastest way is to email our designated Copyright Agent at [email protected].

11.3 What to Include in a Notice: In order for your DMCA notice to be effective, it must include (per 17 U.S.C. §512(c)(3)) the following information:

  • 11.3.1 A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that is allegedly infringed. (You can type your full legal name at the bottom of an email, for example, as your electronic signature.)
  • 11.3.2 Identification of the copyrighted work claimed to have been infringed. Be specific. If multiple works are involved, you can provide a representative list. (For instance, “the copyrighted photographs titled [Name] taken by [Your Name]”.)
  • 11.3.3 Identification of the material that is claimed to be infringing or to be the subject of infringing activity and information reasonably sufficient to permit us to locate the material on Jaaspire. Please provide URLs or specific links to the content if possible, and the username of the person who posted it, if known. General descriptions like “a video I found on your site” are not sufficient—we need to be able to find exactly what to remove.
  • 11.3.4 Contact information for the notifying party. This should include your full name, mailing address, telephone number, and email address.
  • 11.3.5 A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law. (For example: “I believe in good faith that the use of the copyrighted material described above is not authorized by the owner, its agent, or the law.”)
  • 11.3.6 A statement that the information in your notice is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf. (Simply put, you attest that the complaint is truthful and you have the right to make it.)

If any of the above information is missing, we may not be able to process your request.

11.4 Our Response to DMCA Notices: Upon receipt of a valid DMCA notice, Jaaspire will:

  • Acknowledge we received the notice (usually via email).
  • Remove or disable access to the allegedly infringing material on the Platform.
  • Notify the user (the “Uploader”) who posted the material that it has been removed or disabled due to a DMCA complaint. This notice will include an identification of the content removed and advise the Uploader of their right to submit a counter-notification.
  • Keep a record of the notice for legal purposes.

We may also terminate the accounts of repeat infringers in accordance with our Repeat Infringer Policy (generally, any user who receives multiple valid DMCA complaints may be subject to account termination).

11.5 Counter-Notification (for Users who believe their content was wrongly removed): If you are a user who posted content that was removed due to a DMCA notice, and you believe the content was removed as a result of mistake or misidentification, you may submit a DMCA counter-notification to dispute the claim. Your counter-notification must include:

  • Your physical or electronic signature.
  • Identification of the material that has been removed or to which access has been disabled, and the location (URL) where the material appeared before it was removed/disabled.
  • A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.
  • Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court in the district where you reside (or in [Company’s jurisdiction] if you reside outside of the United States), and that you will accept service of process from the person (or their agent) who provided the original DMCA notice.

You must send the counter-notice to the same designated agent (contact info in 11.2 above). If we receive a valid counter-notification, we will forward it to the original complaining party. If the original copyright owner does not file a court action seeking an injunction against the user within 10-14 business days after we provide them the counter-notice, we are legally allowed to restore the material, and we generally will do so.

11.6 Misuse of DMCA: Please note that filing a false DMCA notice or counter-notice can have legal consequences. Under the law, anyone who knowingly materially misrepresents that material is infringing, or that it was mistakenly removed, may be liable for damages (including costs and attorneys’ fees). This is to prevent abuse of the process.

11.7 Repeat Infringers: Jaaspire’s policy is to terminate, in appropriate circumstances, the accounts of users who are repeat infringers. While the exact criteria are at our discretion, a common guideline is if a user receives three valid DMCA complaints (that are not successfully counter-notified) for three different works, the account may be terminated. We may also terminate accounts with fewer strikes in cases of egregious infringement or where we believe the user is willfully violating copyright on a broad scale.

11.8 Other Intellectual Property: For complaints about trademark infringement or other IP violations (not copyright), users should contact [email protected] with details. We may require similar information and will handle those complaints under applicable laws and our internal policies.

12. Linking to Jaaspire (Social Media and Sharing)

12.1 Linking to Our Site: We welcome Users and others sharing links to Jaaspire. You may create a hyperlink to Jaaspire’s homepage (or your own profile or another Creator’s profile) provided you do so in a way that is fair, legal, and does not damage our reputation or take advantage of it. This means:

  • You must not establish a link in a manner that suggests any form of association, approval, or endorsement by Jaaspire where none exists. (For example, do not state or imply that Jaaspire is a partner or sponsor of your site without permission.)
  • You should not use our logo or graphics to link without permission, aside from any branding resources we explicitly make available for users to promote their profiles.
  • If we request that you remove a link to our site (perhaps if we find it inappropriate or confusing), you agree to remove it promptly.

12.2 No Framing: You may not “frame” or embed our website in another site in a way that presents it as part of another website, without our prior written consent. Also, you may not directly link to or embed content from Jaaspire that is behind a login/paywall (such as a direct link to an image or video URL on our CDN) on an external site. This can circumvent our security and is not allowed.

12.3 Social Media Features: Jaaspire might provide certain social media features that enable you to:

  • Link from your own or certain third-party websites to certain content on Jaaspire.
  • Send communications or content from Jaaspire to third-party services (for example, a “Share” button to share a public Jaaspire post on Twitter or Facebook).
  • Or cause limited portions of content on Jaaspire to display on your own or certain third-party websites.

You may use these features solely as they are provided by us and solely with respect to the content they display (for example, if we provide an embeddable post widget, you may not modify it). You must also comply with any additional terms we provide for those features.

12.4 Your Own Site: If you link to Jaaspire from your own website or social media page, the site or page must not contain illegal or adult content that violates our Acceptable Use Policy (especially if you are embedding any Jaaspire content there). For instance, if you have a blog that contains hate speech or pirated content, you may not link to Jaaspire from it, as we do not want to be associated with such material.

12.5 Right to Disable Links: We reserve the right to disable or withdraw linking permission without notice if we deem a link or use of our content to be inappropriate or in violation of these Terms.

13. Links from Jaaspire

13.1 Third-Party Links: Jaaspire may contain links to other websites or resources provided by third parties. For example, Creators or Followers might share a YouTube video link, or we might have partner services. These links are provided for your convenience only. We have no control over the content on those third-party sites or resources.

13.2 No Endorsement: The inclusion of any link to a third-party site does not imply endorsement by Jaaspire of that site or any association with its operators. Jaaspire does not screen or evaluate external websites, and we are not responsible for the content, advertising, products, or other materials on or available from those sites.

13.3 At Your Own Risk: If you decide to access any third-party websites linked from Jaaspire, you do so at your own risk. Such third-party sites have their own terms of service and privacy policies, which we encourage you to review. Jaaspire is not liable for any loss or damage that may arise from your use of them.

13.4 Transactions with Third Parties: Any dealings you have with advertisers or other third parties found on or through Jaaspire are between you and that third party. For example, if you click a link to buy a product or service from a third party, any payment or contract is solely between you and that third party. Jaaspire isn’t involved, and you agree that we won’t be liable for any loss or claim you may have against any third party.

14. Referral Program

14.1 Referral Links: Jaaspire may offer a referral program to reward users for inviting new Creators or Followers to the Platform. If a referral program is in effect, each User could receive a unique referral URL or code (“Referral Link”) which can be shared with others. When a new user signs up through your Referral Link, they are attributed as your referral.

14.2 Referral Rewards: If a referral program is active, Jaaspire will pay referrers (the person who shared the link) a bonus or commission based on the referred user’s activity. For example, Jaaspire might pay you 5% of the referred Creator’s earnings for a set period (such as their first 12 months on the Platform). Specific details (rate, duration, eligibility) will be as communicated in the referral program terms. Referral bonuses are paid out by Jaaspire and do not reduce the referred Creator’s earnings. (In other words, the 5% comes from Jaaspire’s platform fee, not from the Creator’s 80%.)

14.3 Successful Referral Conditions: To ensure you get credit, the new user must sign up using your exact Referral Link or code. Typically, referrals are tracked via cookies or the unique code in the URL. If the new user does not use your link (e.g., they visited the site directly), we cannot retroactively credit you as the referrer. Also, referrals may only count if the new user is truly new (not someone who previously had an account).

14.4 Referral Restrictions: We want referrals to be earned ethically. You must not:

  • Violate any spamming laws or guidelines when sharing your Referral Link. (No mass unsolicited emails, automated bots posting your link, etc.)
  • Misrepresent Jaaspire or your relationship with Jaaspire when promoting your Referral Link. For instance, you cannot run advertisements pretending to be Jaaspire to funnel sign-ups through your link, nor can you use Jaaspire’s branding in a confusing manner.
  • Refer yourself or create fake accounts to abuse the program. Any indication of fraudulent referrals will lead to loss of referral rewards and possibly account termination.

14.5 Program Changes: Jaaspire reserves the right to modify or terminate the referral program at any time. If the program is terminated or changed, we will honor referrals that have accrued up to that point as per the original terms, but no new referrals may be earned under the old terms after the change. We will notify users of significant changes to referral terms.

14.6 Payout of Referral Earnings: Referral earnings (if any) will typically be paid on the same schedule as Creator payouts or on a monthly basis. These will appear in your account balance or a separate referral balance. If we suspect the referrals are fraudulent or violate our terms, we may withhold referral payments pending investigation.

15. Disclaimer of Warranties

Use of Jaaspire is at your own risk. We want to be as clear as possible that the Platform is provided “as is” and “as available.” By using Jaaspire, you acknowledge and agree to the following:

15.1 No Guaranteed Outcomes: Jaaspire and all of its services and features are provided without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Jaaspire (including our affiliates, and our and their respective officers, directors, employees, and agents) disclaims all warranties, express or implied, related to the Platform. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no promises that:

  • Jaaspire will meet your specific requirements or expectations.
  • The Platform will be available on an uninterrupted, secure, or error-free basis 100% of the time. (We may have downtime for maintenance, or there could be technical issues beyond our control.)
  • The content provided on the Platform (whether by us or by users) is accurate, complete, or reliable. User Content is largely produced by users, and we do not guarantee its quality or truthfulness.
  • Any errors or defects on the Platform will always be corrected. We strive to fix bugs quickly, but we are not warranting perfection.
  • The Platform or any content is free of viruses or other harmful components, though we do take security measures.

15.2 User Precautions: You are responsible for implementing reasonable precautions to protect yourself and your devices. This includes using up-to-date antivirus software, using caution when interacting with other users or downloading content (even content allowed on the Platform could potentially be harmful if someone embedded malware, though that’s also against our rules), and backing up any data that is important to you. If you lose data or damage occurs to your system by using Jaaspire, we are generally not liable (to the extent allowed by law).

15.3 Third-Party Content and Interactions: We do not control third-party communications or content you might receive through Jaaspire (for example, messages from other users, or links other users share). We also cannot control what users do with the content they access. Therefore:

  • We do not warrant or guarantee any specific results from use of the Platform. For example, we don’t guarantee that Creators will achieve any particular level of income or that Followers will find the content they desire.
  • Any reliance you place on information or materials obtained on Jaaspire is strictly at your own risk. We disclaim all liability for actions you take based on information you find on the Platform (again, unless we explicitly give official information, e.g., in our help center).
  • If you meet or communicate with other Users off the Platform or engage in transactions outside Jaaspire, we are not responsible for what happens.

15.4 Service Availability: While we aim for 24/7 uptime, Jaaspire does not warrant that the service will be uninterrupted or available at any particular time or location. Downtime may occur. We also reserve the right to suspend all or part of the service for technical reasons or emergencies.

15.5 No Liability for Certain Damages: To the fullest extent allowed by law, Jaaspire will not be liable for any loss or damage caused by:

  • Distributed denial-of-service (DDoS) attacks, viruses, or other technologically harmful material that may infect your computer equipment or other property due to your use of our Platform or any service or content obtained through it, or on any website linked to it.
  • The actions of other users, whether online or offline. We are not responsible for what happens between users (though we provide guidelines and will intervene by removing accounts/content as needed).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such jurisdictions, warranties are disclaimed to the fullest extent permitted by law.

16. Limitation of Liability

16.1 Indirect Damages: In no event will Jaaspire or its affiliates, or their respective officers, directors, employees, agents, or shareholders be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, or system failure, or the cost of substitute services, arising out of or in connection with your access to, use of, or inability to use Jaaspire or any content on the Platform, even if we have been advised of the possibility of such damages. This holds true under any theory of liability (whether based in contract, tort, negligence, strict liability, or otherwise).

16.2 Direct Damages Cap: To the extent any liability is found despite the above disclaimer, the total liability of Jaaspire and its affiliates (and their officers, employees, etc.) to you for any claim arising out of or relating to these Terms or your use of the Platform is limited to the greater of: (a) the total amount of fees you paid to Jaaspire in the 6 months preceding the claim, and (b) USD $100. We feel this is a reasonable allocation of risk. If you have not paid anything (for example, a Follower with only free subscriptions, or a visitor), our maximum liability will be $100.

16.3 User Content Liability: Jaaspire specifically disclaims any liability for the illegal or unauthorized distribution of your User Content by other users. As mentioned, if another user or outside party misuses your content, we will help to the extent we can (Section 10.9), but we will not be liable for the initial act of distribution by that party.

16.4 Exceptions: Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not fully apply to you. Also, any liability that cannot be excluded or limited under law (for example, certain statutory liabilities) is not excluded by these Terms. In those cases, our liability is limited to the minimum permitted by law.

16.5 Release: You release Jaaspire and our affiliates and agents from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and any other user of the Platform. If you are a California resident, you waive California Civil Code §1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.” (In plain language, this means you are waiving any unknown claims.)

17. User Indemnification

17.1 Indemnity: You agree to indemnify, defend, and hold harmless Jaaspire, its parent company, affiliates, and their respective officers, directors, employees, and agents (collectively, the “Jaaspire Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • 17.1.1 Your use or misuse of Jaaspire or its services/features.
  • 17.1.2 User Content you create, post, or share through Jaaspire (including any allegations that your content infringes or misappropriates the intellectual property or privacy rights of a third party, or that it defames someone, etc.).
  • 17.1.3 Any interactions or transactions between you and other users (for example, disputes between a Follower and a Creator regarding content delivery, or between Creators collaborating on a project).
  • 17.1.4 Your violation of these Terms or of any law or regulation.

17.2 Cooperation: Jaaspire reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You will not settle any such claim without our prior written consent (because a settlement might impose obligations on us or admit fault on our behalf, which we need to approve). We will use reasonable efforts to notify you of any claim subject to this indemnification upon becoming aware of it.

17.3 Continued Obligation: This indemnification obligation will survive termination of your account or these Terms. That means even if you delete your account or stop using Jaaspire, you could still be responsible for costs related to things that happened while you used the Platform.

18. Governing Law and Dispute Resolution

18.1 Governing Law: These Terms, and any dispute or claim arising out of or related to them or your use of Jaaspire, shall be governed by and construed in accordance with the laws of Washington State, USA, without giving effect to any conflict of laws principles that would cause the laws of another jurisdiction to apply. If you reside outside of the governing jurisdiction, nothing in this clause overrides any rights you may have under mandatory local laws.

18.2 Jurisdiction and Venue: To the extent any lawsuit is permitted under these Terms (see below regarding dispute resolution), you and Jaaspire agree to submit to the personal and exclusive jurisdiction of the courts located within King County, Washinton State, USA for the purpose of litigating any dispute. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts. However, Jaaspire reserves the right to seek injunctive relief in any jurisdiction if necessary to protect our interests or enforce our rights (for example, to stop a data breach or intellectual property infringement).

18.3 Dispute Resolution Process: We strongly encourage you to contact us first at [email protected] if you have any issues or disputes with Jaaspire or other users. Many disputes can be resolved informally through communication. If we cannot resolve the dispute informally, the following applies:

  • Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to this Agreement (including the formation, interpretation, breach, termination, or validity hereof), and including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively by final and binding arbitration. The arbitration will be conducted in King County, Washington, before a single neutral arbitrator. This arbitration requirement applies equally to disputes involving both commercial (business-to-business) and consumer parties. However, either party retains the right to bring an individual claim in a small claims court for disputes within that court’s jurisdiction. By agreeing to arbitration, the parties waive the right to a trial by a judge or jury in court. This clause and any arbitration hereunder shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16), and not by any state arbitration law. The arbitration shall be administered by JAMS, an established alternate dispute resolution provider. The arbitration shall be conducted pursuant to the JAMS rules appropriate to the nature of the dispute. If the dispute is between businesses, it shall be governed by the JAMS Comprehensive Arbitration Rules and Procedures; if the dispute involves a consumer (an individual acquiring goods or services for personal or household use), it shall be conducted in accordance with JAMS’s Consumer Arbitration Minimum Standards of Procedural Fairness. JAMS shall determine which set of rules applies based on the parties and the nature of the dispute, and the arbitrator shall enforce the applicable JAMS rules. The arbitrator shall have the authority to award any relief that a court could award (except as limited by this Agreement), and any award by the arbitrator may be entered as a judgment in any court of competent jurisdiction. This arbitration clause does not prevent either party from seeking temporary or preliminary injunctive relief or other provisional remedies in court as necessary to protect their rights or preserve the status quo pending arbitration.  Each party shall bear its own attorneys’ fees and legal costs in the arbitration, regardless of its outcome. In other words, each side will pay for its own lawyers and expenses, and neither party will seek to recover its attorneys’ fees or costs from the other in arbitration. (For clarity, this provision does not supersede any JAMS rule or applicable law requiring a different allocation of arbitration administrative fees in a consumer case – e.g. any cap on a consumer’s filing fee or requirement that the company pay the arbitrator’s fees – which the parties will abide by in such an event.) Except as provided in the preceding sentence, the parties agree that no attorneys’ fees or costs shall be awarded by the arbitrator, and each party waives any claim to such fees or costs from the other.
  • Class Action Waiver: You and Jaaspire agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and neither party will seek to have any dispute heard as a class action, representative action, collective action, or private attorney general action. Waiving class actions means you cannot bring a claim on behalf of a group or the public in general, and similarly we cannot bring a claim against you except on an individual basis.
  • Trial by Jury Waiver: To the extent permitted by law, both you and Jaaspire waive any right to a jury trial in any litigation arising out of or related to these Terms or use of the Platform. (Jury trials are typically longer and more complex; the waiver means a judge would decide the case if it goes to court.)

18.4 Time Limit to Bring Claims: Any cause of action or claim you may have arising out of or relating to these Terms or your use of Jaaspire must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently waived and barred. This is a shorter time period than the standard statute of limitations in many places, so please be aware and act promptly if you have an issue.

19. Waiver and Severability

19.1 No Waiver: No waiver by Jaaspire of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of that term or any other term, and any failure by Jaaspire to assert a right or provision under these Terms does not constitute a waiver of that right or provision. In other words, if we do not immediately enforce a part of these Terms against you, that does not mean we’ve given up our right to enforce it later or against someone else. For example, if you breach one of these Terms and we don’t take action, we still reserve the right to take action for that breach or similar future breaches.

19.2 Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, then such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of the Terms will continue in full force and effect. In plain language, if one part of the Terms is found invalid, we intend for the rest of the Terms to still apply. The invalid part will be modified by the court to a valid form, if possible, that achieves the intent of the original provision.

20. Entire Agreement

20.1 Entire Agreement: These Terms of Service (along with any documents expressly incorporated by reference, such as our Privacy Policy and any community guidelines or additional terms provided within the Platform) constitute the entire agreement between you and Jaaspire regarding your use of the Platform. They supersede and extinguish all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

This means that if you have communicated with us in the past, or read something on a forum, etc., only the written terms in this agreement (and incorporated policies) are binding. Any prior promises or discussions not reflected in these Terms are not enforceable. If you are reading these Terms in a language other than English, note that any translations are for convenience; the English version is legally authoritative (unless we specify otherwise).

20.2 No Third-Party Beneficiaries: These Terms are for the benefit of you and Jaaspire (and our affiliates, successors, etc.) only. They are not intended to confer any rights or remedies on any third parties, except as may be expressly stated (for example, indemnified parties under Section 17 are considered intended beneficiaries to enforce those rights).

20.3 Headings: The section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
